Timothy R. Bowers is VLP’s Managing Partner and a seasoned corporate lawyer focusing on entity formation, financing transactions and mergers and acquisitions for high-growth technology and life sciences companies and the investors that partner with them. Tim is known for providing practical, business-minded advice to his clients and, as a result, they lean on him for guidance on matters of critical strategic importance to their businesses.
On the company side, Tim represents businesses throughout their life cycles—from formation to exit. He regularly structures, documents and negotiates all flavors of capital-raising transactions for his clients, including through the issuance of SAFEs, convertible notes and preferred stock. Tim also devotes a substantial portion of his practice to M&A exits for his clients through stock and asset sales and mergers, with such transactions often involving complex earnouts and a combination of equity and cash consideration. In addition, Tim guides his clients through their more routine day-to-day legal needs related to corporate governance, securities law compliance, commercial agreements, employment and consultant arrangements, intellectual property assignment and non-disclosure agreements, equity compensation and director and officer fiduciary duties.
On the investor side, Tim primarily represents venture capital funds and high net worth individuals and their family offices in investments in enterprises operating in the same spaces as Tim’s company-side clients.
Tim began his career as a capital markets attorney at Sidley Austin LLP in New York, primarily representing public companies and major investment banks in debt and equity financings and advising on corporate governance matters, including 1934 Act compliance. Before joining VLP in 2013, he spent many years at K&L Gates LLP handling buy-side M&A transactions for private equity funds.
Tim is a graduate of the University of Notre Dame and Villanova University School of Law, where he served as an editor of the Villanova Law Review. He lives in San Francisco with his wife, Kristin, and son, Miles.
