Mike helps companies become deal-ready and navigate complex transactions, including financings, mergers, stock sales, and asset sales. He has designed and implemented compliance programs for artificial intelligence, data privacy, data security, consumer protection, electronic communications, fraud prevention, export controls, and know-your-customer (KYC) requirements. Mike also drafts and negotiates the agreements technology companies depend on, such as service and subscription agreements (MSAs, SLAs, order forms, etc.); vendor, partner, and agency agreements (such as reseller, referral, and integration agreements); and data and IP licensing and development agreements.
As a registered patent attorney, Mike helps clients build, protect, and enforce their patent portfolios. He drafts and prosecutes patent applications before the United States Patent and Trademark Office, secures protection in foreign jurisdictions, and advises clients on patentability, freedom-to-operate, validity, and infringement, including formal opinions. He also manages IP due diligence for corporate transactions and develops enforcement strategies to protect clients’ key innovations.
Mike spent several years in software and semiconductor engineering at IBM’s Systems and Technology Group before law school, so he speaks the same language as the inventors and engineering teams he works with.
Before joining VLP, Mike practiced at firms headquartered in the Bay Area, Virginia, and Munich, Germany. He is admitted to practice in Utah and Virginia and is registered to practice before the United States Patent and Trademark Office.
