David Jargiello is a Partner and the firm’s General Counsel. His practice focuses on the representation of legal technology companies, venture capital funds, and professional services firms in corporate, securities, and M&A transactions, as well as in complex fiduciary duty and risk management matters. David was instrumental in working with VLP’s founders in the structure and formation of the firm in 2008.
David has represented emerging growth companies and their investors in hundreds of financing transactions, including early-stage convertible debt and bridge financings, preferred stock financings, managed private placements, and IPOs. David has also served as both buyer and seller counsel in numerous M&A transactions, including mergers, stock sales and asset sales with private and public buyers. Prior to joining VLP, David was Venture Partner and General Counsel of Flywheel Ventures, a seed and early-stage venture capital firm headquartered in Santa Fe, New Mexico. Prior to joining Flywheel, David was a partner and the firmwide General Counsel of Heller Ehrman White & McAuliffe. He was also a Shareholder and General Counsel of Venture Law Group which he joined as one of the original 14 founding attorneys from Wilson Sonsini Goodrich & Rosati.
In addition to practicing law, David is a Lecturer at the University of California Berkeley School of Law where he teaches Professional Responsibility. He also writes, speaks and consults frequently on the spectrum of professional and business matters that confront lawyers and law firms, is a former member of the State Bar of California’s Committee on Professional Responsibility and Conduct, and a current member of the Board of Trustees of the State Bar of California
