David Goldenberg, a founding partner and corporate attorney at VLP Law Group, advises innovative companies, investors and family offices on complex corporate transactions and business growth strategies in Silicon Valley and nationwide. Known for delivering pragmatic legal advice and calm problem-solving under pressure, David helps clients navigate high-stakes deals ranging from early-stage venture financings to mergers exceeding $1 billion.
David works closely with venture-backed startups, technology innovators and investors to steer them through critical business milestones, combining legal strategy with practical insight to help them build, scale and successfully exit their companies. His practice covers venture capital and SAFE financings, convertible notes, mergers and acquisitions, joint ventures, technology transactions, commercial agreements and corporate governance. He frequently advises software, SaaS and technology companies on licensing, strategic alliances and agreements essential for growth and intellectual property protection.
He is also a trusted advisor to family offices, guiding them through acquisitions, private equity investments, corporate restructurings and succession planning for complex asset portfolios. David counsels individual executives on employment agreements, equity compensation and transition events, leveraging his firsthand understanding of business dynamics and risk.
Before joining VLP, David served as General Counsel of Mediabolic, a Silicon Valley embedded software pioneer, where he led over 75 technology licensing transactions with industry leaders such as Intel, Motorola, Sony, Cisco and HP, and managed the company’s successful sale to Macrovision (now Rovi). Earlier in his career, he practiced at Morrison & Foerster in San Francisco, advising technology companies and investors on M&A, financings and strategic transactions.
David is committed to a lean, client-focused service model, delivering partner-level engagement while drawing on VLP’s deep bench of experienced business and transactional attorneys. Clients value his ability to translate complex legal issues into actionable business strategies. He and his team have handled transactions ranging from $1 million to nearly $2 billion, cementing his reputation as a leading corporate and M&A attorney in California’s technology ecosystem and the San Francisco Bay Area.
David earned his law degree from Stanford Law School, where he served as Chair and Managing Editor of the Stanford Journal of Law, Business & Finance. Outside the office, he enjoys exploring San Francisco’s vibrant neighborhoods, live music and spending time with his college-age son.
