Adam Ally is a Counsel in the Commercial Lending, Structured Finance & Venture Debt practice group. He specializes in representing lenders in venture debt transactions. Adam possesses extensive experience structuring, negotiating, and closing a wide range of venture debt instruments, including revolving lines, term loans, growth capital facilities, senior and subordinated debt, syndicated and bilateral fundings, and bridge financing. He represents banks, lenders, funds, pharmaceuticals, fintechs, and other private companies across a broad spectrum of venture-backed or asset-based commercial lending transactions. His experience has positioned him at the forefront of emerging companies in the energy, finance, health care, life sciences, pharmaceutical, manufacturing, entertainment, wellness, and technology industries. In addition, Adam has experience with a variety of other corporate and financial transactions, including commercial contracts, negotiation tactics, corporate issues (structure, strategy, and governance), regulatory issues (engagement, compliance, and implementation), mergers and acquisitions, and banking law. Prior to joining VLP, Adam was an attorney at DLA Piper LLP in the Venture & Growth Lending practice group. Adam received his law degree from the University of Southern California, Gould School of Law, and his bachelor’s degree in economics from the University of San Diego. Prior to law school, Adam worked in the pharmaceutical industry leading study coordination on an investigational new drug. Adam volunteers regularly with the San Diego Volunteer Lawyer Program in its Domestic Violence Restraining Order Clinic, assisting victims of domestic violence, elder abuse, and civil harassment obtain restraining orders against their abusers, and its Unlawful Detainer Clinic, assisting landlords and tenants navigate and properly file for or against eviction. Currently, he resides in his hometown of San Diego.
