Jacob Dy-Johnson is a Partner in the Commercial Lending practice area at VLP. Jacob’s practice focuses on all aspects of secured and unsecured debt finance, including venture debt, revolving credit facilities, asset based loans, factoring and receivables financing, royalty financing, bridge financing, equipment lending and leasing, acquisition finance, project financing, workouts and restructurings, and other complex debt financings.
Jacob represents banks and other lenders as well as borrowers in a wide variety of industries such as technology, life sciences, energy, professional services, manufacturing and retail. Jacob has vast knowledge in structuring, negotiating and documenting both single lender and multiple lender transactions, including senior and subordinated debt, mezzanine debt, unitranche loans, syndicated credit facilities, and the associated intercreditor arrangements in such transactions. In his practice representing both lenders and borrowers in venture debt transactions and bridge loan financings, Jacob has developed expertise in working with warrants, convertible notes, and other similar equity and equity-linked instruments. His extensive experience includes cross-border transactions with loan parties organized in countries across North America, South America, Europe, Africa, the Middle East, Asia and Australia.
Prior to joining VLP, Jacob was an attorney in the Corporate Finance Group of the international law firm Wilson Sonsini Goodrich & Rosati. Jacob received his law degree from the University of Southern California Gould School of Law and his bachelor’s degree in business administration with a concentration in supply chain management from the University of Illinois Urbana-Champaign.
In his spare time, Jacob enjoys coaching his two young children in youth sports, cooking, snowboarding, and rooting for the sports teams from his hometown of Chicago.
