Eda Tan is a corporate attorney with more than three decades of experience advising startups, emerging-growth companies, established private and public companies, and investors. An Of Counsel in VLP’s Corporate Group, she focuses her practice on general corporate counseling, mergers and acquisitions, and venture financings across a range of industries.
At VLP, Eda represents domestic and international clients—from first-time founders to experienced entrepreneurs and investors—throughout the company lifecycle. Her experience spans equity and debt financings, including preferred stock financings, SAFEs, convertible notes, and bridge loans. She also advises clients on company formation, corporate governance, capitalization and equity compensation matters, commercial agreements, and M&A and other strategic transactions.
Eda brings significant cross-border and in-house experience to her practice. She began her legal career in Singapore at Allen & Gledhill, a leading Singapore law firm, where she practiced in the Financial Services group and represented borrowers and lenders in domestic and cross-border syndicated banking transactions.
In 1995, Eda joined Morrison & Foerster’s San Francisco office, where her practice included public and private securities offerings, securities law compliance, M&A, venture financings, and other corporate matters. She subsequently served as Vice President and Senior Corporate Counsel in the Office of Corporate Counsel – International at Charles Schwab & Co., where she supported Schwab’s international affiliates and advised on strategic investments and joint ventures, cross-border transactions, financial services regulatory matters, and the establishment of Schwab’s foreign exchange facility.
Eda later returned to Morrison & Foerster as a partner in the Corporate Group. In addition to advising clients on corporate and securities transactions, she served as Administrative Partner of Operations and as a member of the firm’s SEC Task Force, advising on implementation of the Sarbanes-Oxley Act and related disclosure, compliance, and corporate governance matters.
Eda earned her LL.B. from the National University of Singapore and an LL.M. from the University of Cambridge, Trinity College, where she graduated with First Class Honors. Outside of work, Eda volunteers with her local church, is the devoted owner of a Pembroke Welsh Corgi and has recently taken up American Mah Jong.
