Eda Tan is a seasoned corporate attorney with over three decades of experience advising startups, private and public companies, and investors. An Of Counsel in VLP’s Corporate Group, she focuses her practice on general corporate counseling, mergers and acquisitions, and venture financings for emerging growth companies across a range of industries.
At VLP, Eda represents domestic and international clients—from first-time founders to seasoned investors—throughout the company lifecycle. Her experience spans equity and debt financings, including preferred stock investments, SAFEs, convertible notes, and bridge loans. She also advises on company formation, corporate governance, commercial contracts, and complex M&A transactions, ensuring that her clients are well-positioned for both growth and strategic exits.
Eda began her legal career in Singapore at Allen & Gledhill, the country’s top-ranked law firm, where she practiced in the Financial Services group. There, she represented borrowers and lenders in a variety of domestic and offshore syndicated banking transactions. In 1995, she joined Morrison & Foerster’s San Francisco office, where she advised on securities law compliance, IPOs, and both public and private M&A transactions. She later took on an in-house counsel role at Charles Schwab & Co. as Vice President and Senior Corporate Counsel, leading the legal function for Schwab’s international expansion initiatives in Asia and Australia. Her responsibilities included supporting the legal infrastructure for launching new financial products and managing regulatory compliance across jurisdictions.
Eda returned to Morrison & Foerster as an equity partner in the Corporate Group, becoming the most recent Singapore-trained attorney to attain equity partnership at a major international law firm. In addition to advising clients on high-stakes corporate transactions, she served as Administrative Partner of Operations and played a leadership role on the firm’s SEC Task Force. In that capacity, she counseled public companies on Sarbanes-Oxley compliance, disclosure practices, and evolving corporate governance standards.
Eda earned her law degree from the National University of Singapore and an LL.M. from Cambridge University with First Class Honors. She’s an avid swimmer and longtime fan of artistic (formerly synchronized) swimming—a sport her daughters pursued competitively.
